Key Responsibilities:
Assist in equity acquisitions, asset acquisitions, investments, and other corporate transactions, from transaction preparation through signing and closing.
Draft, review, and revise transaction documents, including Letters of Intent, Equity Transfer Agreements, Shareholders’ Agreements, Security Agreements, Powers of Attorney, and other legal documents.
Handle and coordinate Indonesian legal matters related to transactions, including corporate approvals, shareholder and board resolutions, equity transfers, notarization, security arrangements, registrations, and filings.
Conduct Indonesian legal research and provide clear, practical, and well-supported legal advice on transaction-related matters.
Coordinate with Indonesian notaries, external legal counsel, and professional advisors to verify legal requirements and resolve issues.
Assist with legal due diligence, identify material legal risks, and follow up on outstanding legal matters throughout the transaction process.
Coordinate with Chinese and Indonesian teams, Investment, Finance, counterparties, and external advisors to facilitate the successful execution and closing of transactions.
Support other corporate and commercial legal matters as required.
Requirements:
Bachelor’s degree or above in Law.
Relevant experience in Corporate Law, M&A, Investment, Commercial Law, or Transactional Law.
Experience handling equity acquisitions, asset acquisitions, investments, or other corporate transactions is highly preferred.
Strong knowledge of Indonesian corporate and commercial laws, including corporate governance, share transfers, corporate authorization, notarization, security arrangements, and registration/filing procedures.
Strong legal research, drafting, contract review, and analytical skills.
Able to identify legal risks, conduct research independently, and provide practical solutions.
Good working proficiency in English, with the ability to read, draft, and revise English legal documents.
Mandarin/Chinese proficiency is a strong advantage, especially for communication with Chinese management and stakeholders.
Strong communication, coordination, and project management skills.
Detail-oriented, responsible, proactive, and able to work effectively in a fast-paced transaction environment.
Preferred Qualifications:
Experience working with Chinese-invested companies or cross-border transactions.
Experience in Indonesia-China investment or M&A transactions.
Experience coordinating with Indonesian notaries, law firms, government authorities, and other professional advisors.
Familiarity with the mining, natural resources, manufacturing, or other industrial sectors is an advantage.
