As a Corporate Associate, you will report to our VP, Associate General Counsel, Securities and provide practical, business-oriented legal support across corporate finance, strategic transactions, and public-company compliance. You will work closely with internal business partners and outside counsel to help structure, negotiate, document, and execute complex projects in a fast-paced in-house environment.

What you’ll do

·Advise internal business partners on corporate finance transactions, strategic initiatives, and other complex commercial matters

·Draft, review, and manage credit agreements, security agreements, guarantees, and related financing documentation

·Coordinate with outside counsel, counterparties, and internal cross-functional stakeholders on significant corporate projects

·Support the structuring, execution, closing, and post-closing administration of multiple transactions

·Contribute to business development efforts

·Help develop efficient legal processes, transaction-management practices, and internal documentation standards

·Perform other corporate, securities, and governance-related legal work as business needs evolve

What you’ll bring

·Juris Doctor (JD) from an accredited law school

·Active membership in at least one U.S. state bar

·3+ years of relevant corporate, finance, securities, or transactional legal experience at a law firm, in-house legal department, or both

·Excellent drafting, analytical, written, and oral communication skills

·Strong attention to detail and sound judgment in handling confidential and sensitive matters

·Comfort and familiarity working with business and other non-legal stakeholders

·Ability to manage multiple priorities and transactions in a fast-paced environment

·A collaborative team player with strong initiative and desire to grow professionally
